Welcome to Dynbox! These Terms of Service ("Terms") govern your access to and use of the services, software, and websites (collectively, the "Service") provided by CODYA ENGINEERING, doing business as Dynbox ("we," "us," or "our").

By creating an account, or by accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization or entity ("Organization"), then you are agreeing to these Terms on behalf of that Organization, and you represent and warrant that you have the authority to bind the Organization to these Terms.

1. Description of the Service

Dynbox is a Software-as-a-Service (SaaS) platform that connects to your cloud storage accounts (e.g., Google Drive, Dropbox) and local files. It utilizes an AI-powered chat interface to help you organize, search, and automate the management of your digital files. Key features include AI-driven file analysis for performant semantic search and automated background sorting for new files.

The Service is available under different plans, including a "Free" tier for individuals, a "Pro" tier for individuals and small teams, and a custom "Enterprise" tier for larger organizations, as detailed on our website at https://dynbox.app .

2. User Accounts

  • Eligibility: You must be at least 13 years of age to use the Service. By agreeing to these Terms, you represent and warrant to us that you are at least 13 years old.
  • Account Creation: To use the Service, you must register for an account. We require you to provide your name, a valid email address, and optionally, a profile picture. You agree to provide accurate, complete, and updated information.
  • Account Security: You are responsible for safeguarding your account password and for any activities or actions under your account. You must notify us immediately at hello@dynbox.app  upon becoming aware of any breach of security or unauthorized use of your account.

3. Your Content and Intellectual Property

  • Ownership of Your Files: You retain full ownership of all the original files and content you connect to or process through the Service ("Your Content"). We do not claim any ownership rights to Your Content.
  • Ownership of AI-Generated Output: You also retain ownership of the analysis, summaries, tags, embeddings, and other organizational structures generated from Your Content by the Dynbox AI ("Generated Content").
  • Our License to You: We grant you a limited, non-exclusive, non-transferable, and revocable license to use the Service in accordance with your subscription plan and these Terms.
  • Permission to Process Your Content: To provide the Service, we require your permission to perform certain actions on Your Content. You grant us a worldwide, non-exclusive, royalty-free license to access, use, process, and store Your Content solely as necessary to:
    • Provide, maintain, and improve the Service.
    • Generate metadata, summaries, and embeddings where you have explicitly permitted content analysis.
    • Address technical or security issues.
    • Comply with legal obligations.

This license is limited to the purpose of operating and improving the Service. We will only access file contents if you explicitly grant permission on a file-by-file or folder basis within the Service.

4. Use of AI and Third-Party Services

  • AI Analysis: The Service uses artificial intelligence to analyze your files. You have control over which files are subject to content analysis.
  • Third-Party Sub-processors: To provide our Service, we engage third-party services. By using Dynbox, you acknowledge and agree that we may share certain data with these sub-processors:
    • AI Providers: We use Google Gemini Generative AI and Voyage Embedding API for file analysis and content generation. When you permit content analysis, relevant data may be sent to these providers.
    • Analytics: We use PostHog for product and web analytics and Sentry for error tracking to help us understand usage and improve the Service.
    • Data Hosting: Your metadata is securely stored on Neon database servers located in Frankfurt, EU.
  • We will have agreements in place with these third-party services that are consistent with these Terms and our Privacy Policy.

5. Subscription Plans, Billing, and Payment

  • Plans: We offer a "Free" tier, as well as paid "Pro" and "Enterprise" subscription plans on a monthly or annual basis. Features and limits (e.g., credits, members) for each plan are detailed on our website.
  • Billing: For paid plans, you will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing Cycles are set either on a monthly or annual basis, depending on the subscription plan you select.
  • Payment: All payments are handled by a third-party payment processor. You agree to provide them with valid and updated payment information.
  • Cancellations: You may cancel your subscription at any time. The cancellation will take effect at the end of the current Billing Cycle, and you will not be charged for the next cycle. Fees paid are non-refundable.

6. Acceptable Use

You agree not to misuse the Dynbox Service. You will not, and will not permit any third party to:

  • Use the Service for any illegal or unauthorized purpose.
  • Analyze or process content that infringes upon any third party's rights, including intellectual property and privacy rights.
  • Reverse engineer, decompile, or otherwise attempt to discover the source code of the Service.
  • Interfere with or disrupt the integrity or performance of the Service.

7. Data Privacy and Security

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and share your personal information and data. By using the Service, you agree to the collection and use of information in accordance with our Privacy Policy.

We implement robust security measures to protect your data, including encryption in transit, strict access controls, and regular security audits.

8. User Rights: Data Access and Deletion

  • Account Deletion: You can delete your account at any time through your account dashboard. Deletion is permanent and will remove your account and all associated metadata from our systems.
  • Data Portability: You can request a copy of your data by emailing hello@dynbox.app .

9. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Disclaimers and Limitation of Liability

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by applicable law, CODYA ENGINEERING makes no warranties, expressed or implied, and hereby disclaims all other warranties, including, without limitation, implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

In no event shall CODYA ENGINEERING or its suppliers be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Service.

11. Governing Law and Dispute Resolution

  • Governing Law: These Terms shall be governed and construed in accordance with the laws of France, without regard to its conflict of law provisions.
  • Dispute Resolution: We hope to resolve any issues directly with you. Before filing a formal claim, you agree to try to resolve the dispute informally by contacting legal@dynbox.app . If we are not able to resolve the dispute, we agree to the following resolution process:
    1. Negotiation: The parties will attempt to settle the dispute through good-faith negotiation.
    2. Mediation: If negotiation fails, the parties agree to submit the dispute to mediation before a mutually agreed-upon mediator.
    3. Arbitration: If mediation fails, the dispute shall be finally settled by binding arbitration.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide at least 30 days' notice prior to any new terms taking effect by posting on our website or sending an email. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
